Goodwill is the part of a sale price that is not physical assets or inventory: the brand, customer relationships, and earnings history built into the business. Most online store sales are asset deals with little real estate or equipment behind them, so goodwill makes up almost the whole price. SBA lending policy draws a line at 250,000 dollars of goodwill or intangible value requiring an independent business valuation.
